Welcome to the website and digital services of Kairos Sleep Clinic (operating legally as Kairos Health PLLC, "we," "us," or "our"). By accessing or using our website, patient portal, or any other digital communication channels (collectively, the "Services"), you agree to comply with and be bound by these Terms of Service. Please read them carefully.

1. No Professional-Patient Relationship

A formal physician-patient relationship with Kairos Sleep Clinic is established only after you have completed an initial clinical consultation, signed our clinical intake documentation, and our Board Certified Sleep Medicine Physician has formally agreed to direct your care.

2. Use of Telehealth & Secure Portal

We offer digital and telehealth care delivery. By using our telehealth services and secure patient portal, you acknowledge and agree that:

• You must provide accurate, current, and complete personal and medical information.
• You are responsible for maintaining the confidentiality of your portal credentials (username/password) and all activities occurring under your account.
• Telehealth involves electronic communications, and despite advanced encryption standards, there are inherent security risks in all digital transmissions.

3. Communications & SMS Alerts

By opting in to receive SMS or email alerts regarding your sleep care, you consent to receive transactional and appointment-related communications. You can opt out of SMS messages at any time by replying STOP. Message and data rates may apply. SMS consents and phone numbers will strictly remain confidential and will never be shared with third parties or affiliates for marketing purposes.

4. Financial Terms & Patient Responsibility

Your use of our services is subject to our Financial Policy. You agree that:

• You maintain ultimate financial responsibility for all services rendered, including deductibles, co-pays, and out-of-pocket costs.
• If we submit claims to your insurance as a courtesy, it is your responsibility to verify coverage, pre-authorization criteria, and network participation.

5. Prohibited Conduct

You agree not to:

• Use our Services in any manner that could disable, overburden, damage, or impair the website or patient portal.
• Attempt to gain unauthorized access to our clinical systems, other patient accounts, or network infrastructure.
• Submit false, misleading, or abusive information through our communication channels.

6. Artificial Intelligence & Automated Transcription

We may utilize HIPAA-compliant artificial intelligence (AI) tools, including recording and automated transcript generation, to assist healthcare providers with clinical documentation, encounter summaries, and quality assurance reviews. While this data may be gathered, transcription and other raw recording data may not be retained in whole or in part and may not be available upon patient request. All clinical assessments and treatment plans are reviewed, verified, and directed by a licensed clinician.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Kairos Health PLLC and its physicians, employees, or affiliates shall not be liable for any direct, indirect, incidental, or consequential damages resulting from your use of or inability to use our website, public educational resources, or digital portal.

8. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Utah, without giving effect to any principles of conflicts of law. Any legal actions arising from these terms must be filed in the state or federal courts located in Utah.

9. Changes to Terms & Account Deletion

We reserve the right to modify these Terms of Service at any time. Updates will be posted on this page with an updated "Effective Date." Your continued use of the patient portal or the continued maintenance of your data on the portal constitutes your binding acceptance of the modified terms. If you do not agree with modified terms, you retain the right to discontinue use and request the deletion of your digital portal account and credentials by contacting us (subject to statutory medical record retention obligations).
